Reference is made to the announcement of the Company dated 9 June 2015 in relation
to the formation of a joint venture company (the “Announcement”), namely
山東豪沃汽車金融有限公司 (ShanDong HOWO Auto Finance Co., Ltd., formerly
known as Shandong HOWO Auto Finance Co., Ltd.)(the “Joint Venture”). Unless
otherwise defined, capitalised terms in this announcement will have the same
meaning as those defined in the Announcement.
Subsequent to the publication of the Announcement, material amendments (the
“Amendments”) were made to the joint venture arrangement as contemplated under
the Capital Contribution Agreement (the “JV Arrangement”)
